Registering a branch of a legal entity with its main office abroad

Legal entities within the meaning of Section 33 of the German Commercial Code (Handelsgesetzbuch - HGB) with main branches abroad must register branches in Germany for entry in the Commercial Register. The obligation to register applies to those persons who would also be obliged to do so under German law.

The management board applies for registration in the commercial register via a notary public at the registration court in whose district the branch office is established.

A trade must also be registered for the branch office with the trade office of the respective city or municipality.

Note: The branch office is registered with the registration court responsible for the location of the branch office.The maintenance of the commercial register in Saxony is concentrated at the local courts of Chemnitz, Dresden and Leipzig.

To make the application, contact a notary public.

  • The notary will advise you on the formulation of the application.
  • The application is made exclusively by electronic means, for this purpose a publicly certified document is created.
  • The declaration is provided with an electronic signature (within the meaning of § 39a Beurkundungsgesetz/BeurkG) and sent to the electronic court and administrative mailbox of the registry court.

The entry is made in the same way exclusively by a notary public.

Required documents

  • Contract / Articles of Association
  • Documents on the appointment of the board of directors
  • Proof of existence of the main office with certified translation into the German language
  • Legitimation of the authorized representatives with certified translation into the German language

In addition, the following information / evidence:

  • Company name, attached company suffix (if available)
  • Place and domestic business address of the branch office
