Registering a branch of a partnership company with its main office abroad

The partnership company (PartG) is an organizational form for freelancers, in which the liability of the partners can be limited. In it, members of the liberal professions join together to practice their profession. It is an alternative to the partnership under civil law (GbR), in which there is no limitation of liability.

Only natural persons may be members of the partnership.

The branch of a foreign partnership-like form of association must be entered in the partnership register. The entry is made by a notary public at the registration court in whose district the branch office is established. The registration must be effected by all partners.

The partnership company does not exercise a commercial trade and is therefore not a commercial enterprise; registration with the trade office of the city or municipality is not required.

The branch is subject to the law of the principal place of business, i.e. branches established by a foreign company in Germany are also subject to the law of the foreign parent company.

Provided that foreign law does not require any deviations, the regulations for main branches or branches at the company's registered office apply mutatis mutandis to applications, filings, entries and notices concerning the branch.

To submit the application, contact a notary.

  • The notary will advise on the formulation of the application.
  • The application is made exclusively by electronic means, and a publicly certified document is created for this purpose.
  • The declaration is provided with an electronic signature (within the meaning of § 39a Beurkundungsgesetz / BeurkG) and sent to the electronic court and administrative mailbox of the registry court.

You will receive a notification of the registration made.


In the event of significant changes to the details of your partnership, the entry in the register should be corrected immediately by a notary.

Required documents

Data / evidence:

  • Personal data of the partners (surname, first names, date of birth and place of residence)
  • Declaration of affiliation of each partner to a corresponding liberal profession
  • Certificate of state licensing or, if a state examination is required, certificate of qualification for the profession
  • if necessary, confirmation from the competent authority that the partnership can be licensed by the state
  • Proof of the existence of the principal place of business with certified translation into the German language
  • Legitimation of the authorized representatives with certified translation into the German language

  • Fee for registration is determined according to the Law on Court and Notary Fees in connection with the Regulation on Fees in Commercial, Partnership and Cooperative Register Matters
